You can subscribe to our services for a specific term (annual, for half year, quarterly, or month basis) and your subscription gets renewed automatically at the end of each term.
You can upgrade or downgrade the level of our services at any time of your usage. However, Salespanel does not refund any fees in that case.
If you wish to cancel your account, please notify us at least 15 days before the end of your term (via an email to support ( at ) salespanel.io or through support chat). On cancellation, your data is deleted from the servers hosted by Salespanel.
If you use our services, we can use your business logo on our websites for promotional purposes.
Introduction
Thanks for choosing Salespanel (“Salespanel”, “we”, “us” or “our”). Salespanel is operated by Vardhaman Syndicate, a Sole Proprietorship firm registered and governed by Indian Shop Act.
By using Salespanel Service, websites, or software applications (together, the “Salespanel Service”, “Service”, or “Services”) including by purchasing or receiving Codes or Limited Offers, you are entering into a binding contract with Vardhaman Syndicate. Your agreement with us includes these Terms of Service (“Terms”, "Terms of Use", "TOS", or "terms of service") and our Privacy Policy (together the “Agreements”).
In order to use the Salespanel Service, you need to (a) be 18 or older, (b) have the power to enter a binding contract with us and are not barred from doing so under any applicable laws. You also warrant that any registration information that you submit to Salespanel is true, accurate and complete, and you agree to keep it that way at all times.
Please read these Terms of Service carefully before using the Salespanel Service. By accepting this Terms of Service or by accessing or using the Service or the website, you acknowledge that you have read, understood, and agreed to be bound by this Terms of Service. If you are entering into this Terms of Service on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Terms of Service, in which case the terms "you", "your" or "user" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this Terms of Service, you must not accept this Terms of Service and may not use the Service.
Changes to the Agreements
Occasionally we may, in our discretion, make changes to the Salespanel Service and Agreements. When we make changes to the Agreements that we consider material, we’ll notify you through the Service and email. By continuing to use the Service after those changes are made, you are expressing and acknowledging your acceptance of the changes.
Availability
The service is provided on an “as is” and “as available” basis. Your use of the Service is at your sole risk.
Intellectual Property
The Service and its original content, features, functionality and look and feel are owned by Vardhaman Syndicate and are protected by copyright, trademark, trade secret and other intellectual property or proprietary rights laws.
Right to use logo:
Customer agrees to let Vardhaman Syndicate use its organization’s logo in Vardhaman Syndicate’s customer list and at other places on its website (including but not limited to salespanel.io) and promotional materials, including press releases. This clause will survive expiry or termination of this Agreement.
Availing the Salespanel Services
Here’s some information about all the ways you can enjoy Salespanel:
Subscriptions
Salespanel account holders may access the Salespanel Service by subscribing to our premium subscription offered.
You will be billed in advance on a recurring basis based on the billing method you choose while buying the Paid Subscription (annual or monthly) referred as "Billing Cycle" in this document. At the end of each billing cycle, your Paid Subscription will be automatically renewed unless you or our company chooses to cancel it. The written notice of non-renewal must be sent at least 15 days before the end of the Subscription Term. If you need help in cancelling the Paid Subscription, you may contact our customer support team.
Codes and other Limited Offers
If you have purchased a code sold by or on behalf of Salespanel for access to the Paid Subscriptions for the time period indicated on your email, or if you are accessing the service through some other limited offer which you received or purchased from Salespanel (“Limited Offer”), these Agreements apply to your access to the Service. Any separate sets of terms and conditions presented to you along with the Code or other Limited Offer also apply to your access to the Service using the Code or Limited Offer.
Subject to any rights you may have under Section titled “Cancellation and Termination”, Codes are not redeemable for cash and may not be returned for a cash refund, exchanged, resold or used to purchase other Codes.
Trials
From time to time, we may offer trials of the Paid Subscriptions for a specified period without payment (a “Trial”). Salespanel reserves the right, in its absolute discretion, to determine your eligibility for a Trial, and to withdraw or to modify a Trial at any time without prior notice and with no liability.
For some Trials, we’ll require you to provide your payment details to start the Trial. At the end of such Trials, we may automatically start to charge you for the Paid Subscriptions on the first day following the end of the Trial, on a recurring monthly basis. By providing your payment details in conjunction with the Trial, you agree to this charge. If you do not want this charge, you must cancel your Subscription through your Salespanel account’s settings before the end of the Trial.
Changes in Fees
Salespanel may change the price for the Paid Subscriptions from time to time, and will communicate any price changes to you. Price changes for Paid Subscriptions will take effect at the start of the next subscription period following the date of the price change. You will be provided a reasonable prior notice in case of such changes to provide you an opportunity to terminate the service before you are charged with the modified fees.
Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Refunds
Notice that no refunds are provided, you can use our services until the end of your monthly billing period after which your credit card will not be charged again. Refund requests are considered on case by case basis. Vardhaman Syndicate and it’s staff reserves the right to deny your refund request.
Accounts
When you create an account on our website, you must provide accurate and up to date information. Failure to do so will mean a breach of Terms of Service and may result in termination of your account on our service.
Cancellation and Termination
You are free to cancel your Salespanel Paid Subscriptions any time. Notice that no refunds are provided, you can use our services until the end of the current billing period after which your credit card will not be charged again. After cancellation your Salespanel account is put in disabled state.
We may terminate your access to the Service, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Link to third party websites and services
Our services may contain links to third party websites and services that are not controlled by Vardhaman Syndicate.
Vardhaman Syndicate has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Vardhaman Syndicate shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We recommend you to read the terms of service and privacy policy of third party sites or services you visit.
Termination of account
We reserve the right to terminate your account at our sole discretion any time without any prior notice or liability whatsoever. Upon termination, your right to use your account will cease.
Applicable law
This contract shall be governed by the law of India. Any dispute, controversy or claim arising out of or in connection with this contract, or the breach, termination or invalidity thereof, shall be solved by a Court in India.
Limitation of Liability
- You expressly understand and agree that Salespanel shall not be liable for any damages resulting from the use of the Salespanel service.
- Any decisions or claims you make based on data from the Salespanel Service are your sole responsibility. Salespanel shall not be held liable for any such decisions or claims.
- In no event shall Salespanel's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing this site.
Indemnification
- You agree to indemnify, defend and hold harmless Salespanel and its officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs arising from your use of the Salespanel service, your violation of the terms of service or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.
- You agree to immediately notify Salespanel of any unauthorized use of your account or any other breach of security known to you.
Other
If any part of this Terms of Service would be determined by any competent authority to be invalid, unlawful or unenforceable, the remainder of the Terms of Service shall continue to be valid and enforceable to the fullest extent permitted by law.
